Yarvis — Terms of Service

Welcome to Yarvis AI (“Yarvis,” “we,” “our,” “us”).

These Terms of Service (“Terms”) govern your access to and use of our AI sales agents, automated calling and WhatsApp systems, workflows, dashboards, website, APIs, and all related services (collectively, the “Service”).

By using the Service, you agree to these Terms.

If you do not agree, do not use Yarvis.

1. Description of the Service

Yarvis provides AI-powered sales agents that:

  • Contact and manage leads through voice calls, WhatsApp, SMS, and email

  • Qualify leads according to criteria you define

  • Automatically book meetings on your sales team’s calendar

  • Execute inbound and outbound workflows

  • Run follow-ups, reminders, confirmations, and lead nurturing

  • Can close sales on your behalf under a pay-per-sale model

The Service includes:

  • Voice AI agents (automated cold calling, follow-ups, reminders)

  • WhatsApp AI agents (inbound responses, outbound sequences)

  • Omnichannel workflows

  • Dashboards, analytics, and reporting

  • Integrations with CRMs, lead sources, forms, ads, and databases

Features may evolve over time.

2. Payment Models

Yarvis operates primarily under pay-for-results models:

2.1 Pay Per SQL (Sales Qualified Lead)

You pay only when Yarvis delivers a lead that meets your qualifying criteria (e.g., budget, company size, intent).

2.2 Pay Per Meeting

You pay when an AI agent successfully books a qualified meeting with your sales team.

2.3 Pay Per Sale

You pay a previously agreed commission when an AI agent closes a sale or generates attributable revenue.

2.4 Subscription Plans

Some features or usage tiers may require monthly or annual fees.

2.5 Billing and Refunds

  • All charges for results are final unless a clear technical error by Yarvis is proven.

  • Subscription fees are non-refundable for periods already billed.

  • You may cancel at any time, but outstanding charges remain due.

3. Acceptable Use

You agree not to use Yarvis for:

  • Illegal outreach, spam, or contacting leads without proper consent

  • Violating GDPR, CCPA, LGPD, CAN-SPAM, TCPA, or local communication laws

  • Fraudulent, deceptive, or harmful activities

  • Contacting numbers or recipients that your jurisdiction prohibits

  • Processing data you do not have rights to use

You (the client) are solely responsible for ensuring your outreach complies with applicable laws.

Yarvis provides automation technology but does not determine or validate your legal basis for contacting leads.

4. Integrations and Lead Sources

You may connect:

  • CRMs

  • Forms & landing pages

  • Advertising platforms

  • Lead lists

  • Internal systems

By connecting any source, you certify that:

  • You legally own or have rights to the data

  • You have consent (when required) to contact those leads

  • You are compliant with local and international regulations

5. License to Use the Service

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not:

  • Reverse-engineer, decompile, or modify Yarvis systems

  • Attempt to recreate or replicate Yarvis agents or models

  • Resell or sublicense the Service without permission

  • Use Yarvis to build competing technology

6. Intellectual Property

Yarvis retains all rights to:

  • AI agent systems

  • Voice technology and synthetic speech

  • Workflows and automation logic

  • Dashboards, UI, and internal systems

  • Branding, content, and software

You may not copy or derivative our technology without written permission.

7. Data & Privacy

“Customer Data” includes:

  • Leads and contact information

  • CRM data

  • Call logs, WhatsApp chats, transcripts

  • Notes, classifications, and workflow outcomes

7.1 Ownership

You retain full ownership of all Customer Data.

7.2 Yarvis Use of Data

You grant Yarvis permission to:

  • Process data to deliver the Service

  • Use anonymized, non-personal data to improve system performance

  • Maintain logs, backups, and operational metrics

  • Monitor interactions for quality and abuse prevention

We do not sell Customer Data.

8. Automated Calls and Messaging

By using Yarvis, you authorize the platform to:

  • Automatically call your leads

  • Send WhatsApp messages

  • Respond to inbound chats

  • Run follow-ups and sequences based on your configuration

You are responsible for ensuring you have a legal right to contact these leads.

9. Third-Party Providers

Yarvis relies on third-party services such as:

  • Telephony providers

  • WhatsApp Business API providers

  • Cloud infrastructure

  • AI model providers

We are not liable for outages or limitations caused by these third parties.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Yarvis is not liable for indirect, incidental, or consequential damages

  • Yarvis does not guarantee 100% accuracy of calls, messages, or sales outcomes

  • Yarvis is not responsible for compliance failures on your side

Our total liability is limited to the amount you paid in the previous 90 days.

11. Termination

We may suspend or terminate your account if:

  • You violate these Terms

  • You engage in abusive, illegal, or fraudulent behavior

  • You fail to pay required fees

You may cancel at any time by contacting us.

12. Modifications

We may update these Terms at any time.

Material changes will be communicated, and continued use constitutes acceptance.
